Some Insights into Indian Diets.

Well, fortunately, thanks to AAPI (American Association of Physicians from India � incidentally, today there are about 57,000 Indian physicians in USA ), we are beginning to get more and more information not only about nutrition values of Indian foods but also the types of diseases Indians are vulnerable to and why. Significant among the diseases Indians are vulnerable to � be it in India, U.K., Canada or USA � are cardiovascular diseases and diabetes (Type 2 especially). There could be a variety of reasons as to why: lack of rigorous physical exercise, stressful hard work, pattern of weekend partying and feasting with friends etc.

About 8 or 9 years ago, AAPI set up a task force of highly qualified dieticians and physicians to come up with some practical guidelines about a variety of Indian foods and their nutritional content or lack of it. The result is this 96-page book, AAPI�s Guide to Indian Food & Nutrition. The book (see attachment) covers a variety of Indian foods from different regions of India � Gujarat, Maharashtra, South India, Bengal and even Nepal.

At 96 pages, it is indeed a BIG book so I would suggest that you make a hard copy or keep it on a separate disc for future reference.

And let us thank our friends at AAPI for a wonderful job they are doing.

CIRCULAR/PRESS NOTE
Company Law : Payment of MCA fees in electronic mode

GENERAL CIRCULAR [NO. HQ/9/2002-COMPUTERIZATION], DATED 9-3-2011

Ministry has reviewed the processes involved in delivery of important services to stakeholders, with a view to identify and improve the components causing delay in disposal of applications. Payment confirmation is found to be a major bottleneck in delivery of services in respect of offline payment made by physical challans. It was found that often there was a delay in confirmation of payments by physical challans, as banks have been given a reporting time of ‘T’+3 days, as per payment procedure approved by C&AG,‘T’ being the transaction date. This leads to delay in creation of work item for disposal of an application/e-form, leading to inconvenience of stakeholders. On the other hand, it was found that wherever fees were paid online in the system, the work item was created faster and the approvals were speedier as banks are following ‘T’+1 for reporting online payments.

2. In the interest of stakeholders, with a view to improving service delivery time, Ministry has decided to accept payments of value upto Rs. 50,000, for MCA 21 services, only in electronic mode w.e.f. 27th March, 2011.

3. For the payments of value above Rs. 50,000, stakeholders would have the option to either make the payment in electronic mode, or paper challan. However such payments would also be made in electronic mode w.e.f .1st October, 2011.

In exercise of the powers conferred by clause (b) of sub-section (1) of section 642, read with sub-section (1B) of section 314 of the Companies Act, 1956, the Central Government hereby makes the following rules to amend the Director’s Relatives (Office or Place of Profit) Rules, 2003, namely:-

1. (1) These rules may be called Director’s Relatives (Office or Place of Profit) Amendment Rules, 2011.

(2) They shall come into force on the date of their publication in the Official Gazette.

2. In the Director’s Relatives (Office or Place of Profit) Rules, 2003, (hereinafter referred to as the said rules), in rule 3, for the figures “50,000″, the figures “2,50,000″ shall be substituted.

3. In the said rules, for the figures “50,000″, the figures “2,50,000″ shall be substituted.

4. In the said rules, for rule 7, the following rule shall be substituted, namely:—

The selection and appointment of a relative of a director holding office or place of profit in the company shall be approved by adopting the same procedure applicable to non-relatives :

Provided that, in the case of listed public companies, the selection of director for holding place of office or profit in the company shall have to be also approved by a Selection Committee.

Explanation.- For the purpose of this sub-rule, the expression “Selection Committee” means a committee, the majority of which shall consist of independent directors and an expert in the respective field from outside the company:

Provided that in case of unlisted companies, independent directors are not necessary but outside experts should be there in the Selection Committee:

Provided further that in the case of private companies, independent directors and outside experts are not necessary.

MCA: Further Simplification and Changes in DIN Procedure

MCA, vide General Cirular No. 11/2011 dated 7th April, 2011, as an step towards simplification in allotment of DIN, has prescribed certain changes in DIN Allotment Procedure.

- MCA is moving towards online DIN allotment.

- Now PAN of the Applicant will be a mandatory field in DIN eform 1.

- All existing DIN Holders, who have not furnished their PAN earlier at the time of obtaining DIN, are required to furnish their PAN by filing DIN-4 eform by 31st May, 2011.

MCA: Further Simplification and Changes in DIN Procedure

MCA, vide General Cirular No. 11/2011 dated 7th April, 2011, as an step towards simplification in allotment of DIN, has prescribed certain changes in DIN Allotment Procedure.

- MCA is moving towards online DIN allotment.

- Now PAN of the Applicant will be a mandatory field in DIN eform 1.

- All existing DIN Holders, who have not furnished their PAN earlier at the time of obtaining DIN, are required to furnish their PAN by filing DIN-4 eform by 31st May, 2011.

Dear Professional Colleagues,

MCA, vide General Cirular No. 11/2011 dated 7th April, 2011, as an step towards simplification in allotment of DIN, has prescribed certain changes in DIN Allotment Procedure.

- MCA is moving towards online DIN allotment.

- Now PAN of the Applicant will be a mandatory field in DIN eform 1.

- All existing DIN Holders, who have not furnished their PAN earlier at the time of obtaining DIN, are required to furnish their PAN by filing DIN-4 eform by 31st May, 2011.

MCA has also issued clarifications on Easy Exist Scheme 2011.

Amendment in the Companies (Particulars of Employees) Rules, 1975
MCA, vide Notfication dated 31st March, 2011, has amended the Companies (Particulars of Employees) Rules, 1975.

Now, after amendment, these Rules shall apply to such employees whose remuneration is-

(a) not less than rupees Sixty Lakhs [existing : twenty four lakhs] per financial year; and

(b) not less than rupees Five Lakhs [existing : two lakhs] per month.

MCA clarification: word “partnership” in ICAI, ICWAI, ICSI Acts include LLPs

MCA, vide General Circular Dated 4th April, 2011, has clarified that the words “partnership” wherever occurring in the Chartered Accountants Act, 1949, the Cost and Works Accountants Act, 1959 and the Company Secretaries Act, 1980 shall mutatis mutandis be construed as including those Limited Liability Partnerships where all the other partners are natural persons(individuals) and the word “partner” shall also be construed accordingly.
