Hi all,

Many noticeable high profile changes are happening all around. Besides the
design domain the changes are everywhere.

1. Congress was voted in with more seats than they imagined. This soared the
hopes for economic revival. Budget yesterday sort of brought the hope back down.

2. Bandra-worli sea link- a 5.6 km bridge over sea on western side of Mumbai was
opened to public. It is India's first, though we need many more within Mumbai
itself and in many more cities near sea. This engineering marvel is 10 years
late in happening and represents development in India in its entirity. The
bridge got clogged for the first 3 days. The govt is still clueless about who is
to make the bridge secure..and we are note sure what the bridge is to be called
as yet. But we have the bridge.

3. A visit to any lake or river puts the whole economy in place, if doesnt rain
in next 5 days...we wont have any drinking water in our cities..i saw Bheema
river last week (well there was no river)...and Chaas dam near Pune (the lake is
dry as if there never was water in it). At these places when i think of the
discussions we have in the Design Council or even at the Global Design Council,
i feel a certain hollowness, i feel we are not connected to the reality of the
times. And when i turn the TV on..i see Mumbai under water in first day of the
rain itself....What has that got to do with Design!!!

4. I saw a first Tata -Nano car delivered near my house in Pune. Sure enough, it
looks cute, had people coming and gawking at it. headlights looked strong..looks
like a complete car..moved well. My driver is disappointed though, for him it is
too shiny and too big. He says they could have saved material and paint and made
it at half the cost. He is not going to buy it...
I might just buy it actually.

5. You remember i asked if anyone wanted to travel with me to Malaysia for
(www.kuasa.wrega.org)..i was hoping there would be 5 people who may want to
spend and travel... well 76 people have confirmed so far..i am shocked.. are we
having a recession time or what....

6. Many interesting events are coming up this year. There is Designyatra in
Mumbai this year (september)..then India Design Festival in December in Delhi.

I wonder how much time will Nano take to become a nuisance from being cute...

color queries? YOU, that's who! This is the goal of the Colors India CMG
conference.
Whether you are in the garment, appliance, retail, interior, communication, or
other Indian industry, Colors India CMG is your platform for color design. In
groups, you will engage in the lively exchange of information and discuss the
application of your conclusions to the Indian marketplace.
This year the conference will feature two workshops (details below) with a

NCS, the Natural Color System, is a perceptual tool for color design and
communication.
A two day workshop on working with the NCS System includes presentations and
practical exercises. Beginning with the perceptive elementary colors, it is
possible to construct a three-dimensional color space, which includes the whole
color world and makes it possible to describe any conceivable color percept. A
great tool for creating fantastic color design and combinations; it allows
colors to come out right at end production.

and research persons, teachers, technicians, paint industries.

Limited Liability Partnership is already confirmed by the parliament.

The salient features of the Limited Liability Partnership are as under:
1. The LLP has an alternative corporate business vehicle that would give the
benefits of limited liability but allows its members the flexibility of
organizing their internal structure as a partnership based on an agreement.
2. The LLP Act does not restrict the benefit of LLP structure to certain classes
of professionals only and would be available for use by any enterprise which
fulfills the requirements of the Act.
3. While the LLP has a separate legal entity, liable to the full extent of its
assets, the liability of the partners would be limited to their agreed
contribution in the LLP. Further, no partner would be liable on account of the
independent or un-authorized actions of other partners, thus allowing individual
partners to be shielded from joint liability created by another partner’s
wrongful business decisions or misconduct.
4. LLP shall be a body corporate and a legal entity separate from its partners.
It will have perpetual succession. Indian Partnership Act, 1932 shall not be
applicable to LLPs and there shall not be any upper limit on number of partners
in an LLP unlike an ordinary partnership firm where the maximum number of
partners can not exceed 20, LLP Act makes a mandatory statement where one of the
partner to the LLP should be an Indian.
5. The taxation of LLPs shall be addressed in the Income Tax Act, 1961 which
regulates taxation of all form of entities.
6. Provisions have been made for corporate actions like mergers, amalgamations
etc.
7. While enabling provisions in respect of winding up and dissolutions of LLPs
have been made, detailed provisions in this regard would be provided by way of
rules under the Act.
8. The Act also provides for conversion of existing partnership firm, private
limited company and unlisted public company into a LLP by registering the same
with the Registrar of Companies (ROC)
9. Nothing Contained in the Partnership Act 1932 shall effect an LLP.
10. The Registrar of Companies (Roc) shall register and control LLPs also.
11. The governance of LLPs shall be in electronic mode based on the successful
model of the present.


The Lok Sabha (Lower House) granted its assent to the Bill on The Limited
Liability Parternship Act 2008 on December 12, 2008 which was earlier passed by
the Rajya Sabha (Upper House) in October 2008.

Dear Kaustav
The registration of companies in India is going through some major changes
in the near future with the ongoing discussions about single person limited
companies being debated and other forms that would encourage incubation that
is being discussed at many levels in government as well as in business and
legal circles. I have been reading articles about this in the Economic Times
of late.

Here is a website that gives a good overview about the process that exists
for the formation of a company and its registration under the present
Company law in India today. This is a private site and I am not endorsing
the site but the information given is useful and clear for a beginner and it
will give anyone wishing to talk to a CA or a Company Law person a
sufficient overview to make their own decisions about the advise that is
given.

I have been advising my students not to form partnership companies with
friends and colleagues without looking at all the dimensions of such an act
since the liability of a partnership is unlimited and can be very risky in
the uncertain event of a breakup in the partnership or in the event of some
major business related losses that can ruin that family of both business

Soumitri Varadarajan (NID Alumni, Ex IITD Faculty these days in RMIT
Melbourne, Australia) is doing a project on documenting Indian design called
Simply India. The project has a facebook group called Simply India. You can
join that to help him with his project. He also has a blog called Simply
India where he writes a bit and will be putting up all the results of his
documentation work from the project. Also in the blog is a sample sketch of
a designer - and he plans to do many more over the years.

He has written to me to publicize and send out information about a survey he
is conducting as part of this project. So that more people can do the survey
and he can get more comprehensive information for his project about the
design scene in India today.

   The registration of companies in India is going through some major changes
   in the near future with the ongoing discussions about single person limited
   companies being debated and other forms that would encourage incubation that
   is being discussed at many levels in government as well as in business and

   I have been advising my students not to form partnership companies with
   friends and colleagues without looking at all the dimensions of such an act
   since the liability of a partnership is unlimited and can be very risky in
   the uncertain event of a breakup in the partnership or in the event of some
   major business related losses that can ruin that family of both business

As you are aware, the India Design Council is now in place and the First
Meeting of the Council was held in Mumbai on 18th June 2009. Several issues
were discussed and one of the top priorities currently would be to build an
identity for the Design Council so that stakeholders and people in general
are able to connect with it in a systemic manner.

This is a good beginning for design profession & fraternity in India and I
would appreciate if you share your suggestions / inputs on building the
identity especially an appropriate logo which can be used for India Design

format, with brief explanation on the concept. The identity needs to be

suggest the basic procedure (and requirements) to register a design studio in
India
and in process enlist the most dependable consultants in this regard, if
